General Terms and Conditions

of MKW Medien Kommunikation Werbung for CompanyPages.eu – version November 2026

§ 1 Scope

(1) These General Terms and Conditions (“Terms”) apply to all contracts between MKW Medien Kommunikation Werbung, proprietor Michael Schmitt, Brehmstraße 3, 40239 Düsseldorf, Germany (hereinafter “Provider”) and businesses (hereinafter “Customer”) that order an entry via the online portal CompanyPages.eu.

(2) The offer is directed exclusively at traders within the meaning of Section 14 of the German Civil Code (BGB) as well as legal entities and self-employed persons. Deviating terms of the Customer are not recognised unless the Provider expressly agrees to their application in writing.

§ 2 Services

(1) The Provider operates the online business directory CompanyPages.eu for businesses. The Customer may order an entry there containing company name, address, website, e-mail address, telephone and fax number.

(2) The entry can be found via the domain search on the home page. The Provider reserves the right to further develop the presentation and functions of the directory; the Customer will be informed of material changes.

(3) CompanyPages.eu is not an official register. An entry does not replace any registration or amendment with the official commercial registers.

§ 3 Conclusion of contract

(1) The Customer checks and completes the company data displayed via their personal link and submits it using the “Submit” button. In doing so, the Customer makes a binding offer.

(2) The contract is concluded upon activation of the entry by the Provider; activation constitutes the order confirmation. The Provider is entitled to reject an offer without giving reasons, in particular where content infringes statutory provisions or public morals.

(3) By submitting, the Customer declares that the company data is complete, truthful and current and that they are authorised to place the order on behalf of the business.

§ 4 Obligations of the Customer

(1) The Customer provides only true, complete and current information and informs the Provider of any changes to their company data.

(2) The Customer warrants that they hold all necessary rights to the submitted content. Unlawful or misleading content, or content infringing third-party rights, is excluded. In the event of infringements, the Provider may remove or block the entry without prior notice.

§ 5 Prices and payment terms

(1) The entry costs 99.00 € net for a term of 12 months, plus VAT at the statutory rate. For businesses with a valid VAT identification number from another EU Member State, the reverse-charge procedure applies.

(2) The invoice is issued after activation of the entry and is payable within 14 days of the invoice date without deduction. Details are set out in the Payment terms.

(3) In the event of late payment, the Provider is entitled to deactivate the entry until payment is received.

§ 6 Term and termination

(1) The contract runs for 12 months from activation and ends automatically; renewal takes place only on the express order of the Customer.

(2) The right to extraordinary termination for good cause remains unaffected. Notices of termination must be given in text form (e-mail to eintrag@companypages.eu).

§ 7 Liability

(1) The Provider is liable without limitation for damage resulting from injury to life, body or health and for intent and gross negligence.

(2) In cases of ordinary negligence, the Provider is liable only for the breach of material contractual obligations, limited to the foreseeable damage typical of the contract.

(3) The Provider is not liable for the accuracy, completeness or currency of the content submitted by the Customer. Temporary technical outages do not give rise to any claims unless they are due to intent or gross negligence.

§ 8 Content and rights of use

(1) Content created by the Provider (design, texts, structures) is protected by copyright.

(2) The Customer grants the Provider the non-exclusive right, limited to the term of the contract, to publish the submitted company data in the directory. The Customer indemnifies the Provider against third-party claims arising from the content submitted by the Customer.

§ 9 Data protection

The Provider processes personal data for the performance of the contract in accordance with the GDPR. Details are set out in the Privacy Policy.

§ 10 Amendments to these Terms

The Provider may amend these Terms with effect for the future. Amendments will be notified to the Customer by e-mail; if the Customer does not object within four weeks, the amendments are deemed accepted. The notification will draw attention to this.

§ 11 Final provisions

(1) The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

(2) The place of jurisdiction for all disputes, where legally permissible, is Düsseldorf, Germany.

(3) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
